In compliance with United States regulations regarding online privacy for children, Context Institute and this Website do not knowingly solicit or collect personally identifiable information from children under the age of thirteen (13). Limitation of Liability

In no event will Context Institute, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) interruption of use or loss or corruption of data. General Representation and Warranty

You represent and warrant that: (i) your use of the Website will be in strict accordance with these Terms and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside), (ii) you consent to Context Institute’s Privacy Policy and Copyright Policy, and (iii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.

Indemnification

You agree to indemnify and hold harmless Context Institute, its contractors and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website, including but not limited to your violation of these Terms.

Mediation and Arbitration

You agree that, in the event any dispute or claim arises out of or relating to your use of the Website, that you and we will attempt in good faith to negotiate a written resolution of the matter directly between you and us (the “parties”). You agree that if the matter remains unresolved for forty-five (45) days after notification (via certified mail or personal delivery) that a dispute exists, the parties shall join in mediation in Langley, Washington, with a mutually agreed mediator in an attempt to resolve the dispute. Should you file any arbitration claims, or any administrative or legal actions without first having attempted to resolve the matter by mediation, then you agree that you will not be entitled to recover attorneys’ fees, even if you would otherwise be entitled to them. Should the dispute remain unresolved for forty-five (45) days after the start of meditation, then the dispute will be resolved by binding arbitration unless both parties agree to continue the meditation. For the purposes of arbitration, each party shall choose one arbitrator and the two so chosen will choose the third. An award of arbitration may be confirmed in a court of competent jurisdiction.

Miscellaneous

These Terms constitute the entire agreement between Context Institute and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Context Institute, or by the posting by Context Institute of a revised version.

Except to the extent applicable law, if any, provides otherwise, these Terms will govern any access to or use of the Website. Any disputes arising out of or relating to these Terms will be governed by the laws of the state of Washington, U.S.A., excluding its conflict of law provisions. The proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts serving Island County, Washington.

We reserve the right to civil enforcement of any potential violations of the law you may cause in relation to your use of the Website.

Our failure to enforce any part of these Terms will not waive our ability to enforce them, and any waiver with regard to a specific instance shall not constitute a waiver of any other breaches of these Terms, even with regard to the same user.

If any part of these Terms is held invalid or unenforceable, that part will be construed to reflect Context Institute’s original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of these Terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under these Terms to any party that consents to, and agrees to be bound by, its terms and conditions; Context Institute may assign its rights under these Terms without condition. These Terms will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
